Composition

The Remuneration Committee consists of the following positions:

  • Chancellor (Chair)
  • Deputy Chancellor
  • one appointed member of Council, whose term of appointment is not about to expire.

Charter

The UTS Remuneration Committee Charter (PDF) outlines the committee's roles, responsibilities, composition and the manner in which it discharges its responsibilities for UTS. 

Responsibilities 

The committee will make recommendations to Council on the following matters: 

  1. receive and consider relevant market reference data from external sources 
  2. from time to time consider and benchmark the design of the Remuneration Framework for the Vice-Chancellor and Provost 
  3. receive the Chancellor’s recommendations regarding the remuneration of the Vice-Chancellor, based on the Chancellor’s review of the Vice-Chancellor’s performance 
  4. receive the Vice-Chancellor’s recommendations regarding the remuneration of the Provost, based on the Vice-Chancellor’s review of the Provost’s performance 
  5. having regard to the recommendations received from the Chancellor and the Vice-Chancellor, determine remuneration policy and outcomes for the Vice-Chancellor and Provost, and report to Council as appropriate.

Performance 

The committee will review its performance annually against the charter.

Quorum

The quorum at any meeting of a Council committee or board, shall, unless another number is fixed for a particular committee or board, be one-half of the members of the committee or board for the time being but, if one-half is not a whole number, shall be the next higher whole number.
